ok sooo i downloaded both this one on pirate bay and i went to the nero site and downloaded that one at the same time and the pirate bay one finished 1st and its installing right now with no problems. workin great. A+++ thanks

well duh its going to show up as pirated software if your using an illegal key and haven't added nero's websites to loop back to local host. Add the following entries to your Hosts file:
127.0.0.1 nero.com
127.0.0.1 www.nero.com
127.0.0.1 activate.nero.com
127.0.0.1 www.activate.nero.com
